Discounted cash flow
Discounted cash flow (DCF) will help you estimate the value of an investment by calculating a business’s future cash flows. Simply put, DCF attempts to calculate the value of an investment today, by making assumptions of how much money it will accumulate in the future.
It’s appropriate for companies that have growth potential but lack hard assets and a financial track record. The most common example is a web-based start-up. The method deducts intangible criteria from projected cash flows or NPV (net present value).
Take the example of a company that makes a profit of INR10k annually that will remain steady for the next ten years. INR10k received in five years’ time is not worth the same as INR10k received today. If the buyer received that INR10k today, they could put it in a bank (assuming a 5% interest rate) and in five years’ time it would be worth INR12,763.
If you work backwards, the INR10k received in five years' time is worth INR7,835 today, based on the following discounted cash flow formula: = INR 7835. INR 10k received in 10 years' time is worth INR6,139 today: = INR6139
Adding all these figures together gives the buyer an idea of how much he or she should pay now to receive the returns from the business in the future. If the value arrived through DCF analysis is higher than the current investment cost, the opportunity may be a lucrative one. Multiplier valuation by sales
Each industry has its own publications, EduMany and industry associations that can provide current multiples for your industry. The multiplier method uses the business’s gross sales multiplied by this multiple to reach a valuation.

Surveys have shown that a seller, who asks for all cash, receives on average only 70 percent of their asking price, while sellers who accept terms receive on average 86 percent of their asking price. That's a difference of 16 percent! In many cases, businesses that are listed for all cash just don't sell. With reasonable terms, however, the chances of selling increase dramatically and the time period from listing to sale greatly decreases. Most sellers are unaware of how much interest they can receive by financing the sale of their business. In some cases it can greatly increase the amount received. And, again, it tells the buyer that the seller has enough confidence that the business can, indeed, pay for itself.
When a buyer is sufficiently interested in your business, he or she will, or should, submit an offer in writing. This offer or proposal may have one or more contingencies. Usually, they concern a detailed review of your financial records and may also include a review of your lease arrangements, franchise agreement (if there is one) or other pertinent details of the business. You may accept the terms of the offer or you may make a counter-proposal. You should understand, however, that if you do not accept the buyer's proposal, the buyer can withdraw it at any time.
At first review, you may not pleased with a particular offer; however, it is important to look at it carefully. It may be lacking in some areas, but it might also have some pluses to seriously consider. There is an old adage that says, "The first offer is generally the best one the seller will receive." This does not mean that you should accept the first, or any offer -- just that all offers should be looked at carefully.
When you and the buyer are in agreement, both of you should work to satisfy and remove the contingencies in the offer. It is important that you cooperate fully in this process. If you are using an attorney, make sure they are familiar with the business closing process and the laws of your particular state. You might also ask if their schedule will allow them to participate in the closing on very short notice.
If you and the buyer want to close the sale quickly, usually within a few weeks, unless there is an license involved that might delay things, you don't want to wait until the attorney can make the time to prepare the documents or attend the closing. Time is of the essence in any business sale transaction. The failure to close on schedule permits the buyer to reconsider or make changes in the original proposal.

Discounted cash flow
Discounted cash flow (DCF) will help you estimate the value of an investment by calculating a business’s future cash flows. Simply put, DCF attempts to calculate the value of an investment today, by making assumptions of how much money it will accumulate in the future.
It’s appropriate for companies that have growth potential but lack hard assets and a financial track record. The most common example is a web-based start-up. The method deducts intangible criteria from projected cash flows or NPV (net present value).
Take the example of a company that makes a profit of INR10k annually that will remain steady for the next ten years. INR10k received in five years’ time is not worth the same as INR10k received today. If the buyer received that INR10k today, they could put it in a bank (assuming a 5% interest rate) and in five years’ time it would be worth INR12,763.
If you work backwards, the INR10k received in five years' time is worth INR7,835 today, based on the following discounted cash flow formula: = INR 7835. INR 10k received in 10 years' time is worth INR6,139 today: = INR6139
Adding all these figures together gives the buyer an idea of how much he or she should pay now to receive the returns from the business in the future. If the value arrived through DCF analysis is higher than the current investment cost, the opportunity may be a lucrative one. Multiplier valuation by sales

At first review, you may not pleased with a particular offer; however, it is important to look at it carefully. It may be lacking in some areas, but it might also have some pluses to seriously consider. There is an old adage that says, "The first offer is generally the best one the seller will receive." This does not mean that you should accept the first, or any offer -- just that all offers should be looked at carefully.
When you and the buyer are in agreement, both of you should work to satisfy and remove the contingencies in the offer. It is important that you cooperate fully in this process. When all the conditions have been met, final papers will be drawn and signed. Once the closing has been completed, money will be distributed and the new owner will take possession of the business.

If you use accountants, you can work with them on making current information available. If you are using an attorney, make sure they are familiar with the business closing process and the laws of your particular state. You might also ask if their schedule will allow them to participate in the closing on very short notice.
If you and the buyer want to close the sale quickly, usually within a few weeks, unless there is an license involved that might delay things, you don't want to wait until the attorney can make the time to prepare the documents or attend the closing. Time is of the essence in any business sale transaction. The failure to close on schedule permits the buyer to reconsider or make changes in the original proposal.

If your client isn’t a fit for any of our buyers, we will let you know this within a short period of receiving a complete file*, and we won’t take them forward so there will be no negative impact on their business credibility. Why Partner With Us.
After every buyer / seller for whom you’ve provided complete file gets their sale proceeds disbursed, you are eligible to receive a pay-out. This pay-out will be discussed with you while signing up for the referral partner program. EduMany will also pay you a fee if your clients come back to us for further business. We look for bright, motivated self-starters with a growing network of clients that need business loans. They should have good understanding of financial documents, business sale terminology and should be customer centric. Other criteria we take into account are your past experience, geographical service locations, type of sale products handled in the past, and disbursal / conversion success rate.
Our onboarding process is quite simple. Once you share the documents we require to onboard our partners, such as your KYC documents and 2 x business references, we are normally able to onboard you within 24 hours, provided all your required documents are in order.
We cannot arrange purchase proposals for sellers who have a bad local reputation, incomplete documentation or are in default on their current loan repayments.
We cannot arrange purchase proposals for projects with NPA loans or restructuring of distressed businesses.
Most of our buyer partners don’t show interest in start-up businesses. This is because businesses that are less than 3 years old typically won’t have a proven business model, which makes it difficult for a buyer to understand the risk involved with lending to them. Having said that there are a few Investors looking for opportunities in the start-up sector which can be approached.
However, if your client has an existing business that’s more than 3 years old with a good track record and they are now looking to open a new branch or to diversify into a new business line, we may be able to help.

Before we take your client to one of our buyer partners, we run our own eligibility assessment on them using our buyer validated requirement experience, we also do an Education Business for sale proposal validation. In the event that we reject your client at this stage, there is no impact on their business credibility because they have not formally made an application to a buyer. We will provide you and your client with the specific reason we have rejected them, along with actionable information about what the seller can do to improve their sale proposal so that they can increase their chances of securing a sale in the future.
EduMany is a managed marketplace for business including buying and selling of Education Business. We are engaged by buyers to intermediate between them and prospective sellers. This means that we collect the sale proposals, sellers KYC and financial documents on behalf of the buyer and package the sellers application. We maintain the strictest security over all sellers data and their information is always kept confidential. We have agreed on a list of acceptable documents with all our buyer partners. These are the minimum requirements, and unless the documents accompany the sale proposal our buyer partners might not look at the proposal or process the sale proposal. Additionally the buyer does make additional documentation request on a case to case basis.
